(NASDAQ: HCP), a leading multi-cloud infrastructure automation company, today announced they have entered into a definitive agreement under which IBM will acquire HashiCorp for $35 per share in cash, representing an enterprise value of $6.4 billion.

HashiCorp’s cloud ambitions are the big puzzle for IBM to solve post-acquisition. IBM’s track record with public cloud is a messy tale of complexity and failure, at least by comparison with other, better-known public clouds. IBM’s cloud was based on the acquisition of SoftLayer in 2013 rather than internal innovation.
